1. Introduction
These Terms & Conditions ("Terms") govern your use of the data subscription services ("Subscription") provided by Solar Financed Africa, registered in the Netherlands ("Provider"). By accessing or using the Subscription, you ("Customer") agree to these Terms.
2. Description of Subscription
The Provider offers access to data compiled from publicly available sources via an online subscription platform. The scope, functionality, and availability of the Subscription are described on the Provider's website and subscription agreements.
3. Account and Registration
To access the Subscription, Customers must register an account providing accurate, current, and complete information. Customers are responsible for maintaining confidentiality and security of their login credentials.
4. Subscription, Payments, and Renewal
Subscriptions are billed annually, with fees detailed in the subscription plan. Payments must be made promptly according to agreed billing cycles. Once paid, subscription fees are non-refundable after access to the data has been granted. Unless canceled by the Customer prior to renewal, the subscription will automatically renew annually.
5. Data Accuracy Disclaimer
The Provider compiles data from publicly available sources and endeavors to maintain accuracy. However, the Provider expressly disclaims any guarantee that the data provided is complete, accurate, or current. Customers acknowledge that data inaccuracies may exist and agree to use the data at their own risk.
6. Usage Restrictions
Customers shall:
- Use the Subscription solely for lawful business purposes.
- Not sublicense, sell, or distribute the Subscription.
- Not reverse engineer or attempt unauthorized access.
7. Data Protection and Privacy
The Provider processes personal data in compliance with the General Data Protection Regulation (GDPR). The Provider's Privacy Policy details data handling procedures and rights of individuals.
8. Intellectual Property Rights
All intellectual property rights in the Subscription remain exclusively with the Provider or its licensors. Customers receive a non-exclusive, non-transferable license for usage during the subscription period.
9. Confidentiality
Each party agrees not to disclose confidential information obtained during the course of providing or using the Subscription unless legally required.
10. Limitation of Liability
The Provider's liability is limited to direct damages resulting from gross negligence or intentional misconduct, capped at the amount paid by the Customer in the 12 months preceding the claim. The Provider shall not be liable for indirect, incidental, or consequential damages.
11. Service Availability
The Provider aims to maintain high service availability but does not guarantee uninterrupted service. Planned maintenance will be communicated in advance.
12. Termination
Either party may terminate the subscription with notice as outlined in the subscription plan. Upon termination, access to the Subscription will be terminated immediately.
13. Changes to Terms
The Provider reserves the right to update these Terms, notifying Customers of significant changes via email or website announcements. Continued use signifies acceptance of the updated Terms.
14. Governing Law
These Terms are governed by Dutch law. Disputes will be subject exclusively to the jurisdiction of the courts in the Netherlands.
15. General
Should any part of these Terms become unenforceable, the remaining provisions shall continue to be valid.
